Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and Kairos Trading ("Kairos," "we," "us," or "our"). By submitting a membership application, subscribing to a strategy, logging into the member area, or otherwise using our website and services (collectively, the "Services"), you agree to these Terms.

You must be at least 18 years old and have the legal capacity to enter into a contract. If you do not agree, do not apply for membership or use the Services.

You agree that electronic acceptance (including checking an acceptance box) has the same effect as a handwritten signature where permitted by law.

Definitions

"Member Materials" means strategy research, portfolio reports, performance data, holdings, signals, trade history, and any other content made available to approved members through the Services.

"Services" means the Kairos website, membership application and approval process, subscription billing, and member-only access to Member Materials.

"Subscription" means recurring paid access to Member Materials for a specific strategy, as described when you subscribe.

"You" means the individual who applies for membership or uses the Services under a personal account.

What Kairos provides

Kairos provides systematic strategy research and educational informational content, including portfolio reports, backtested and live performance data, model holdings, signals, and trade history.

Kairos does not execute trades on your behalf, hold your funds or securities, open or manage brokerage accounts for you, or provide personalized investment recommendations tailored to your financial situation.

You execute any trades yourself through your own broker or account, using your own judgment.

No guarantees; performance disclaimer

Past, simulated, backtested, or live-reported performance is not indicative of future results. Kairos does not guarantee profitability, returns, accuracy, win rates, drawdown limits, signal timeliness, or that live results will match backtested results.

Model and backtest results may not reflect real-world trading costs, slippage, liquidity, market impact, survivorship bias, data errors, delays, or corporate actions. Member Materials may contain errors or become outdated.

Any performance figures or statistics are illustrative of a systematic rules-based process, not a promise of what you will experience in your own account.

Assumption of risk; your responsibility

Trading and investing involve substantial risk, including the possible loss of your entire principal. You should use only capital you can afford to lose.

You are solely responsible for your investment and trading decisions, order execution, position sizing, risk management, and compliance with laws applicable to you in your country or region.

Kairos is not responsible for outcomes in your accounts, including losses, missed trades, or tax consequences arising from your use of Member Materials.

Confidentiality and non-sharing

Member Materials are confidential and licensed to you alone for your personal, non-commercial use.

You may not share, publish, redistribute, sublicense, disclose, or make available Member Materials — in whole or in part, including summaries, screenshots, exports, or derived works — to any person or entity, whether or not they are a Kairos member. This includes other members, colleagues, advisors, social media, forums, and messaging apps. If someone else should access Member Materials, they must apply for and receive their own approved membership.

You may not share login credentials or allow anyone else to use your account. This non-sharing obligation survives termination of your membership.

Personal membership

Your membership is personal to you as one natural person. You may not register on behalf of an organization, pool accounts, or permit others to access the Services through your credentials.

Subscriptions and billing

Access to Member Materials for a given strategy requires an active paid Subscription. Fees, billing interval, and currency are shown on the pricing page and at checkout when you subscribe (processed by Stripe).

Subscriptions renew automatically each billing period until you cancel. You are responsible for cancelling before renewal if you do not wish to continue. Cancellation stops future charges; access typically continues through the end of the current paid period unless otherwise stated at checkout.

Fees are non-refundable except where required by applicable law. If we terminate your access for breach of these Terms (including sharing Member Materials), you are not entitled to a refund for unused time.

We may change subscription pricing for new subscriptions by updating the price shown at checkout. Price changes for existing subscriptions will be communicated as required by applicable law and payment processor rules.

Intellectual property

Kairos owns all rights in the Services and Member Materials, including copyrights and trade secrets. You receive a limited, personal, non-commercial, non-transferable, revocable license to access Member Materials during an active Subscription and approved membership.

You may not copy, scrape, reverse engineer, or create derivative works from Member Materials except as necessary to view them for your personal use through the Services.

Termination

We may suspend or terminate your membership or Subscription at any time if we believe you have violated these Terms, including by sharing Member Materials or misusing the Services.

You may stop using the Services at any time and cancel Subscriptions through the cancellation method provided (including Stripe customer billing tools where available).

Upon termination, your right to access Member Materials ends, but provisions that by their nature should survive (including confidentiality, intellectual property, and governing law) will continue to apply.

Governing law

These Terms are governed by the laws of Canada and the Province of Quebec, without regard to conflict-of-law rules.

Subject to any non-waivable rights you may have under consumer protection laws in your country of residence, you agree that disputes relating to these Terms or the Services will be brought in the courts located in Quebec, Canada, and you consent to the personal jurisdiction of those courts.
